Updated Rules of Conwy Cricket Club: 01 April 2005

A CONSTITUTION AND OBJECTS

1 The name of the club is “Conwy Cricket Club”

2 The object of the club is to foster cricket within the Old Borough of Conwy and to do all things ancillary to that purpose, including the purchase or sale, leasing or renting of land or property, the organisation of social events, the provision of catering facilities and the raising of funds.

B ALTERATION OF RULES

1 These rules shall not be capable of alteration, deletion or addition, except by the consent of a General Meeting of
which at least fourteen clear days notice, specifying the changes proposed, has been given.

2 The decision of the Executive Committee as to the interpretation of any rule or regulation of the club shall be final
and binding.

C MEMBERSHIP

1 Membership of the club is open to any person, male or female, not necessarily residing within the Old Borough of Conwy, subject to the provision of these rules.

2 There shall be five classes of members:
(a) Senior- age 18 years and over on the 31st March in the current year.
(b) Junior- under 18 years of age on the 31st of March in the current year.
(c) Student- over18 years of age and in full time education.
(d) Non-playing.
(e) Sponsors (non-voting members).

3 A person invited to play for the club on not more than four occasions per season shall be deemed to be a guest
member and will only be required to pay the current match fee(s) subject to the captain’s discretion.

4 The Executive Committee may grant Honorary Life Membership of the club to any persons considered suitable.
Honorary Life Members shall enjoy all the rights of Members but shall not be required to pay the annual subscription.

5 A member is a person whose application for membership has been accepted by the Executive Committee and, except
As herein after provided, whose annual subscription has been paid in full on, or before the 30th June in the relevant financial year. Members not paying subscriptions by 30th June shall not be selected for any team until paid (at the discretion of the committee).

6 The Executive Committee may invite any number of suitable persons to be Vice-Presidents and such Vice-Presidents shall enjoy all the rights of non-playing membership. Their membership shall only be terminated by resignation or by the unanimous decision of those present and voting at an Executive Committee Meeting.

7 A member wishing to resign must tender his resignation in writing to the Honorary Secretary.

8 Members may be warned as to their future conduct or expelled from the club by a simple majority decision of the Executive Committee.

9 No member shall do business on behalf of the club without prior consent of the Executive Committee.

10 The method of team selection shall be left to the discretion of the Executive Committee.

11 The captain or whosoever is acting as hid deputy shall have absolute discretion to act as he thinks fit (within the Laws of Cricket and the rules of the club) on the field of play both in matches and in practice.

D GENERAL MEETINGS

1 An Annual General Meeting shall be held each year within three calendar months of the close of the club’s financial year, which shall end on the 30th September in each year.

2 The business of the Annual General Meeting shall be to receive reports and accounts, to elect officers, to fix
members’ subscriptions and to transact any other business subject to any special requirements in these rules.
3 An Extraordinary General Meeting may be called at any time be the Executive Committee and must be called upon requisition be not less than ten Senior Members. The notice conveying an Extraordinary General Meeting must state
the business for which it has been called.

4 Fifteen Senior Members shall be quorum for a General Meeting.

5 At least twenty-one clear days notice of a General Meeting must be given to all members of the club. The notice shall specify the place, day and time of the meeting and, subject to the provision of these rules, the general nature of the business to be transacted.

6 The accidental omission to give notice to a member of any General Meeting shall not invalidate the proceedings thereat.

7 Every motion to be put to a General Meeting must be duly proposed and seconded. Unless otherwise specified in
these rules, a motion shall be deemed to have been passed if approved by a simple majority of members present and voting.

8 Each senior member is entitled to one vote on each motion put before the General Meeting. A secret ballot may be demanded by not less than three senior members present. The Chairman of the meeting is entitled to a second vote or casting vote should voting on any motion be equal.

9 Each non-playing member is entitled to one vote on each motion put before a General Meeting except with regard to the election of team captains and vice captains. A secret ballot may be demanded by not less than three non-playing members present.

10 Junior members are entitled to receive notice of, and be present at a General Meeting. They will be entitled to a maximum of four votes, but should there be more than four junior members present, then a proportional vote shall be held in a secret ballot amongst themselves.

11 Voting at a General Meeting may be allowed by postal vote, subject to its receipt in writing by the secretary, at least seven days prior to the meeting and at the discretion of the Executive Committee.

12 The President shall be the Chairman for the General Meeting or, failing him, the Chairman of the club, or failing him, the Vice-Chairman of the club. If none be present within fifteen minutes of the time specified in the notice of the meeting, the members present shall elect one of their number to be Chairman of the meeting.

E OFFICERS

1 The officers of the club shall be the President, the Chairman, the Vice-Chairman, the Honorary Secretary, the
Honorary Treasurer, Captains of the first and second teams, Sunday team captain together with two members (being either senior or non-playing) and one representative of the junior members. At all times, the number of playing members must represent the majority of the Executive Committee.

2 All the officers of the club shall be elected annually from members entitled to vote at the Annual General Meeting,
And shall hold office until the next Annual General Meeting.

3 The Captains and vice-captains shall be elected by the Executive Committee and all playing members at the Annual General Meeting.

4 No officer of the club may be removed from office during the period for which he has been elected except by the consent of an Extraordinary General Meeting, the notice of which must state that the removal from office of an officer of the club is to be proposed.

5 If at any General Meeting, no steps are taken to appoint an officer or officers, then the retiring officer or officers are deemed to have been re-elected subject to their acceptance.

F EXECUTIVE COMMITTEE

3 The general management of the club shall be vested in an Executive Committee which shall consist of the officers of the club, for the time being.

2 Executive Committee meeting dates are to be set at the beginning of each year and subsequent changes must be
advised giving no less than seven days proper notice.
3 The Executive Committee shall be empowered to make such decisions as necessary for the efficient operation of the club, always providing such decisions are not inconsistent with the rules of the club.

4 Five members of the Executive Committee shall be quorum for an Executive Committee meeting.

5 No member of the Executive Committee may vote at an Executive Committee meeting on a matter in which he or she is personally or financially interested.

6 The Executive Committee shall have power to fill any casual vacancy amongst the officers of the club, but any person so appointed shall hold office only to the next following Annual General Meeting.

7 The Executive Committee shall have power to borrow or raise money, or to mortgage, or change the club’s assets, for purposes consistent with the objects of the club, but no personal liability shall attach to any member unless he
Consents personally in writing.

8 The Executive Committee may appoint persons who will be responsible for the management of the bar together with purchase and sale of intoxicating liquors of the club. The appointed persons shall be members of the Executive Committee.

9 Child welfare Officer, to ensure a duty of care all members of the club by adopting and implementing the ECB ‘Safe Hands – Welfare of Young People in Cricket’ Policy and any future versions of the Policy.

G ACCOUNTS AND SUBSCRIPTIONS

1 The Executive Committee shall cause to be kept such books and accounts as are necessary to exhibit and explain the transactions and financial position of the club.

2 Once every year, the Executive Committee shall cause to be prepared an Income and Expenditure Account, signed by the Honorary Treasurer, which shall be laid before the Annual General Meeting.

3 A copy of the Income and Expenditure Account shall be sent to all members at least twenty-one days before the
Annual General Meeting.

4 The rates of annual subscriptions shall be fixed at each Annual General Meeting, or at an Extraordinary General Meeting called for that purpose. The Executive Committee shall have no power to fix the rates of annual
subscriptions.

5 Match fees, to be fixed at the Annual General Meeting, shall be paid by each member, where appropriate, in respect of every home and away match in which he plays.

6 The property of the club shall not be capable of being distributed amongst the members.

7 The Auditor or Auditors shall be appointed annually by the Annual General Meeting to hold office until the next Annual General Meeting.

8 An officer of the club shall not be eligible to be appointed as an auditor.

H DISSOLUTION

1 The club shall not be dissolved, except by the consent of at least seventy-five percent of the members present and voting at the Annual General Meeting, at which at least twenty-one clear days notice, specifying the intention of dissolving the club has been given.

2 In the event of dissolution, the property of the club remaining, after providing for all liabilities, shall only be disposed of in a manner approved by the consent of a General Meeting, always excepting that such property is incapable of being distributed amongst the members.

3 Two Trustees shall be appointed by a General Meeting to deal with the assets of the club as they think fit, if at the end of two years of cessation of the club’s activities, the club is not dissolved as provided by rule H2.
